Terms & Conditions

1. Introduction

These Terms govern services provided by Ernex Ltd (Company No. [XXXXXXXX]), 50 Main Street, Burrough on the Hill, Leicestershire, LE14 2JQ. All engagements are B2B transactions. By engaging our services you agree to these terms.

2. Services and pricing

• Web Design — Launch (£500): 5-page AI-built website. Includes free hosting, AI content, 1 revision round post-launch. No SEO. Requires completed brief and cleared payment before work begins.
• Web Design — Custom (from £1,000): Bespoke build via Thrive Online Group. Scope, timeline and price agreed per project in a separate statement of work.
• AI Automation (from £300 + £99/month): Build fee plus mandatory monthly retainer. Both components required for all automation engagements.
• AI Audit (£750): Six deliverables delivered within two weeks of receipt of payment and required information. Consultancy deliverable — does not guarantee specific outcomes.

3. Payment

Invoices due within 14 days. Fixed-fee services require payment before work begins. Project work requires 50% deposit, balance on completion. Late payment interest at 8% above Bank of England base rate applies.

4. Intellectual property

Deliverables become client property on receipt of full payment. Ernex retains the right to display completed work in its portfolio unless otherwise agreed in writing.

5. Third-party platforms

AI automations depend on third-party APIs. Ernex is not liable for interruptions caused by third-party platform changes. The monthly retainer covers reasonable adaptation to such changes.

6. AI Audit discount

AI Audit clients receive 25% off automation build fees. Valid for 12 months from audit delivery date. Applies to build fee only. Cannot be combined with other offers.

7. Limitation of liability

Ernex's total liability shall not exceed the total fees paid for the specific service giving rise to the claim. Ernex is not liable for indirect, consequential or special losses.

8. Termination

Retainer agreements may be terminated with 30 days written notice. Fixed-fee services are non-refundable once work has begun. Fees for completed work are payable on termination of project-based engagements.

9. Governing law

These terms are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of English and Welsh courts. Both parties agree to attempt good-faith resolution before pursuing legal action.
